My services include:
Business Setup
If you are starting a new business, I can compare the options open to you - sole proprietorship, general partnership, corporation, LLC and so on - and explain their details. Once you have decided, I can file the documents required by your state, prepare additional documents and obtain an EIN for you. Ongoing legal advice available as needed.
Contract Drafting & Review
If you have made an agreement but need it formalized, I can draft the contract for you. If you already have a contract in legal format, I can review it for you. If you need a contract explained, I can prepare a written memo about what it requires.
Social Enterprises & B Corps
I've written about benefit corporations, or B Corps; taught seminars about them; and incorporated social enterprises for others. I can advise and assist with organizing your social enterprise in whichever state you are located. See socialentrepreneur.lawyer for my social enterprise blog.
Legal Research & Writing
I've researched, written and published about numerous legal topics in my 35+ years as an attorney. I served as Executive Editor of the San Diego Law Review in 1979. Afterward, I clerked for a federal judge, then entered private practice. Most of my practice has been preparing memos, opinion letters, and briefs for courts.
I enjoy helping entrepreneurs start their new businesses and guide them along the way. I'm very good at making complex subjects understandable. I also enjoy working on a deadline because it's exciting.
